Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") are a legal agreement between you and Horizon Home Lights, LLP d/b/a Lumi ("Lumi," "we," "our," or "us") governing your access to and use of our websites, applications, and related services, including LumiCRM and LumiSketch (collectively, the "Services").

By creating an account, clicking acceptance, or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. Eligibility and Authority

  1. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services.
  2. If you use the Services on behalf of a business entity, you represent that you have authority to bind that entity.
  3. You are responsible for all users and activity under your account and workspace.

3. The Services

  1. The Services provide CRM and business-operations features that may include contacts, pipelines, scheduling, tasking, forms, document workflows, invoicing, payments, analytics, routing, and integrations.
  2. We may add, change, or remove features at any time.
  3. Any beta or preview features are provided as-is with no service-level commitment.

4. Accounts, Security, and Team Access

  1. You must provide accurate registration information and keep it current.
  2. You must keep credentials secure and notify us promptly of any unauthorized access.
  3. You are responsible for permissions you assign to team members and for their actions in your workspace.
  4. Account ownership disputes may require verification documents; access may be suspended while disputes are resolved.

5. Customer Data and Your Responsibilities

  1. "Customer Data" means data submitted to the Services by you or your authorized users.
  2. You retain your rights in Customer Data.
  3. You grant Lumi a limited, non-exclusive license to host, process, transmit, and display Customer Data solely as needed to operate, secure, and improve the Services.
  4. You represent you have all rights, notices, and lawful bases required to collect and upload Customer Data.
  5. You are responsible for your own privacy notices, consent collection, and lawful communications practices.

6. Communications Compliance

  1. If you send email, SMS, voice, or similar communications using the Services, you are solely responsible for legal compliance in each jurisdiction where recipients are located.
  2. This includes, as applicable, CAN-SPAM, TCPA, FTC telemarketing rules, state telemarketing laws, carrier rules, 10DLC requirements, GDPR/UK GDPR, and other anti-spam and privacy laws.
  3. You must maintain records of consent and honor unsubscribe and opt-out requests.
  4. Lumi is a technology provider and is not your legal representative or compliance advisor.

7. Electronic Signatures and Document Workflows

  1. If e-signing features are enabled, you are responsible for determining whether electronic signatures are legally valid for your transaction type and jurisdiction.
  2. Some document types may require wet signatures, notarization, witnesses, or other formalities that are outside the scope of the Services.
  3. Lumi does not provide legal advice and does not guarantee enforceability of any particular document.

8. Billing, Subscriptions, and Taxes

  1. Paid plans are billed in advance and may auto-renew unless canceled before renewal.
  2. You authorize recurring charges to your selected payment method.
  3. Fees are non-refundable except where required by applicable law or platform policy.
  4. You are responsible for applicable taxes, duties, and government charges.
  5. We may change pricing with notice; revised pricing applies at renewal unless otherwise stated.

9. Third-Party Services and Integrations

  1. The Services may integrate with third-party providers (for example payment processors, mapping providers, identity providers, email providers, and app integrations).
  2. Your use of third-party services is governed by those providers' terms and privacy policies.
  3. Lumi is not liable for third-party outages, content, or acts and omissions.
  4. You authorize data exchange with enabled integrations as needed for interoperability.

You may not use the Services to:

11. Intellectual Property

  1. Lumi and its licensors own all rights in the Services, software, branding, and platform content.
  2. Except for limited rights expressly granted, no ownership rights are transferred to you.
  3. Feedback you provide may be used by Lumi without restriction or compensation.

12. Confidentiality

Each party will protect the other party's non-public confidential information with reasonable care and use it only as needed to perform under these Terms, except where disclosure is required by law.

13. Suspension and Termination

  1. You may stop using the Services at any time.
  2. We may suspend or terminate access for violations of these Terms, security threats, suspected fraud, legal risk, or non-payment.
  3. Following termination, data handling is governed by our retention practices and legal obligations, as described in the Privacy Policy.

14. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUMI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. LUMI'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE FEES PAID BY YOU TO LUMI IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

16. Indemnification

You agree to defend, indemnify, and hold harmless Lumi and its affiliates, officers, employees, and agents from claims, losses, liabilities, and costs (including reasonable attorneys' fees) arising from your Customer Data, your use of the Services, your communications practices, your legal non-compliance, or your violation of these Terms.

17. Governing Law and Venue

These Terms are governed by the laws of the State of Oklahoma, without regard to conflict of law principles. Unless otherwise required by applicable law, any dispute arising from or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Oklahoma County, Oklahoma, and each party consents to personal jurisdiction and venue in those courts.

If you prefer an arbitration model instead of court venue, this section can be replaced with a binding arbitration and class-action waiver clause.

18. Changes to These Terms

We may update these Terms from time to time. Material updates will be posted with a revised effective date. Continued use of the Services after the effective date of updated Terms constitutes acceptance.
